    Information Collection Portal Terms of Use

    General

    These terms of use apply to GIC Private Limited’s (“GIC”, “we”, or “us”) Information Collection Portal (the “Portal”), which enables GIC to request and receive compliance-related (including KYC) information and documents from you for verification, due diligence, and/or other compliance purposes. Please read these terms of use before accessing and using this Portal.

    By signing up for an account for, logging into, accessing and/or using this Portal (“Use”), you signify and confirm that you have read and accepted these terms of use. If you Use the Portal on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these terms of use, and ‘you’ shall refer to both you and that entity. If you do not agree to these terms of use, do not Use the Portal. You are responsible for compliance with all applicable laws and regulations in any jurisdiction.

    GIC may also update these terms of use from time to time. Any changes or modifications to these terms of use will be effective immediately upon posting on the Portal, and your continued Use of the Portal constitutes acceptance of the updated terms of use.

    Account Security

    When creating your account, you agree to (a) provide information that is accurate and complete and (b) promptly update your account information if there are any changes to such information.

    You are responsible for maintaining the confidentiality of your login credentials and for all activity that you conduct under your account. You must ensure that only personnel you authorise use your account to access the Portal. You must promptly notify GIC if you suspect any unauthorised access to, or use of, your account or the Portal.

    Information and documents you provide

    You represent and warrant that all information, responses, and documents that you submit or upload through the Portal (“Submitted Materials”) are complete, accurate and not misleading as at the date provided, and that you have all necessary rights, consents and authority to provide such Submitted Materials to GIC.

    You further represent and warrant that all personal data provided to GIC is done in accordance with applicable law, including but not limited to ensuring that you have obtained the relevant consents to provide such personal data to GIC.

    You grant GIC a non-exclusive, worldwide, royalty-free licence to use, reproduce, store, process, and disclose the information for the purposes of conducting verifications, due diligence, and complying with legal and regulatory requirements. We may retain your Submitted Materials in accordance with our internal policies and as necessary to fulfil legal or business purposes.

    Your provision of the Submitted Materials through the Portal does not mean that we have verified or accepted such information or documents as complete or sufficient.

    GIC may request additional information or documents for further verification, due diligence, and/or other compliance purposes.

    Confidentiality and disclosures

    We will keep the Submitted Materials confidential and handle the Submitted Materials in accordance with GIC policies. GIC shall be entitled may disclose Submitted Materials to its affiliates, advisers, and service providers on a need-to-know basis. We shall, however, make known to them our obligation of confidentiality and shall request that such confidentiality be maintained.

    GIC may also disclose Submitted Materials where required by law, regulation, court order, or request from any governmental, regulatory, supervisory, or law enforcement authority (in Singapore or elsewhere). Where lawful and practicable, GIC may (but is not obliged to) notify you before making such disclosure.

    Acceptable use

    You must Use the Portal only for responding to GIC’s requests and only in accordance with these terms of use. You must not:

    • attempt to gain unauthorised access to the Portal, any account, system, network, or data;
    • interfere with or disrupt the Portal (including by introducing malware, code, files or programs intended to interrupt, destroy or limit functionality);
    • upload any content on the Portal that is unlawful, misleading, defamatory, infringing, or that violates any confidentiality or third-party rights;
    • probe, scan, test the vulnerability of, or bypass any security or authentication measures;
    • Use any robot, scraper, crawler or other automated means to access the Portal; or
    • impersonate any person, misrepresent your affiliation, or submit information that you are not authorised to provide.

    If you do not comply with these terms of use, GIC shall be entitled to deny, suspend, or terminate your access to this Portal.

    Restrictions on use of materials

    Save for the Submitted Materials, the copyright and all other intellectual property in the contents of this Portal (including, but not limited to, all design, text, images or links) are the property of GIC and/or its affiliates. As such, they may not be appropriated or modified in any manner, or reproduced, transmitted, published, broadcast, stored, adapted, distributed, displayed, licensed, altered, hyperlinked or otherwise used in whole or in part in any manner without the prior written consent of GIC. Save and except with GIC’s prior written consent, you may not insert a hyperlink to this web site or any part thereof on any other web site, or “mirror” or frame this web site, any part thereof, or any information or materials contained in this web site on any other server, web site or web page.

    Save for the Submitted Materials, all trademarks, service marks, design marks, and logos used in this Portal are the property of GIC and/or the respective third party proprietors identified in this Portal. No license or right is granted and your access to this web site should not be construed as granting, by implication, estoppel or otherwise, any license or right to use any trade marks, service marks or logos appearing on the web site without the prior written consent of GIC or the respective third party proprietors as the case may be. Save and except with prior written consent from the proprietor, no such trade mark, service mark, design mark or logo may be used as a hyperlink or to mark any hyperlink to any GIC site or any other site.

    No representation or warranties

    The Portal is provided on an “as is” and “as available” basis.

    GIC does not warrant that this Portal or this server that makes it available will be available, uninterrupted, secure, or error-free, or is free of any virus or other harmful elements.

    Limitation of liability

    The information contained herein in this Portal shall be accessed and used at the your own risk. To the fullest extent permitted by applicable law, GIC and its affiliates, subsidiaries, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, special, exemplary, consequential or other damages whatsoever, (including but not limited to liability for loss of use, data or profits), including but not limited to contract, negligence or other tortious actions, arising out of or in connection with your use of this Portal, even if any of GIC and its affiliates, subsidiaries, employees, agents, and representatives has been advised of the possibility of such damages or losses that were, are being or will be incurred.

    Indemnity

    You agree to indemnify and hold harmless GIC and its affiliates, and their respective directors, officers, employees, agents, and representatives, from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these terms of use; (b) any Submitted Materials (including any allegation that your Submitted Materials infringe third party rights or are unlawful); or (c) your misuse of the Portal or any security incident or data breach caused by your failure to safeguard your account credentials.

    Modifications to the Portal

    GIC reserves all rights to make any and all changes in this Portal at its sole discretion without prior notice to the user. GIC reserves the right to deny, suspend, or terminate youraccess to this Portal to anyone at any time without prior notice. Material on our web site may include technical inaccuracies or typographical errors. Changes may be periodically incorporated into this material.

    Personal Data Protection

    Personal Data provided to GIC as part of this due diligence will be processed in accordance with our GIC Personal Data Protection Policy.

    Governing law and jurisdiction

    These Terms of Use shall be governed by and construed in accordance with the laws of Singapore, and you agree to submit to the non-exclusive jurisdiction of the Singapore Courts.
