Company advances partnership with GIC and expands transmission platform in Brazil

Rio de Janeiro, April 28, 2026 – Neoenergia announces today the expansion of its strategic partnership with GIC, through an agreement with Unique Power FIP, involving a 49% stake of seven transmission assets. The agreed value is R$2.4 billion, as of the base date September 30, 2025, subject to customary adjustments until the completion of the transaction.

The assets included are: Neoenergia Guanabara; Neoenergia Vale do Itajaí; Potiguar Sul; Neoenergia Morro do Chapéu; Neoenergia Estreito; Neoenergia Alto Paranaíba; and Neoenergia Paraíso.

According to Eduardo Capelastegui, CEO of Neoenergia, the transaction reinforces the company’s long-term partnership strategy in transmission, focusing on portfolio optimization and value creation, following capital discipline and structural simplification.

“The evolution of the partnership started in 2023— now reaching its third agreement with GIC in transmission —demonstrates the strength of this relationship and the consistency of our strategy. We are building a robust, efficient, and long-term transmission platform, combining financial discipline, strategic partnerships, and a permanent focus on value creation,” said the executive.

The transaction represents a new milestone in the strategic partnership with GIC, initiated in 2023, marking the third agreement between the parties in the transmission segment, following the establishment of Neoenergia Transmissão. That transaction led to the creation of Neoenergia Transmissão, a platform with joint control and a 50%/50% shareholding structure.

The agreement with Unique Power FIP also provides for Neoenergia’s acquisition of a 1% stake in Neoenergia Transmissão, thereby obtaining control and consolidation, with a 51% shareholding, further strengthening its leadership in the management and development of the platform.

Scale, Recurrence, and Operational Relevance

After the completion of the transaction, Neoenergia Transmissão will hold 16 transmission assets, totaling approximately 6,710 km of lines, with an estimated Annual Permitted Revenue (RAP) of about R$ 1.8 billion. This portfolio positions the platform among the five largest transmission companies, with diversified assets, regulated revenues, and an attractive risk profile.

The transaction reinforces the strategic alignment between Neoenergia and its long-term partner, while advancing the asset rotation plan, portfolio optimization, and balance sheet strengthening, without relinquishing control of strategic assets.

The completion of the transaction is subject to the fulfillment of customary precedent conditions, including approvals by the competent regulatory authorities, such as the Administrative Council for Economic Defense (CADE) and the National Electric Energy Agency (ANEEL).
